This sale is part of a deal with Sota Investments Spain OpCo, S.L.U., a company backed by a consortium including Macquarie Capital and Arjun Infrastructure Partners. The first delivery covers 4.4 million homes, with plans to expand to 1.6 million more over the next three years. Additionally, the two companies signed a 25-year agreement for wholesale bitstream services and technical support related to the network.

(“DIGI”), one of the leading European telecommunications companies, listed on the Bucharest Stock Exchange, would like to inform the market that on 5 September 2024, Digi Spain and Sota Investments Spain OpCo, S.L.U., a company controlled by a consortium comprising Macquarie Capital, abrdn and Arjun Infrastructure Partners, have completed the first delivery within the transaction having as subject matter the sale of a FTTH network in 12 provinces in Spain (the “Network”), following the fulfilment of the conditions set out in the asset purchase agreement concluded on 4 April 2024.

The first delivery covers 4,412,500 homes passed, while the development of the entire Network will take place gradually over approximately 3 years and will cover an additional number of 1,587,500 homes passed.

Digi Spain and Sota Investments Spain OpCo, S.L.U. have also concluded a wholesale bitstream services agreement whereby Sota Investments Spain OpCo, S.L.U. will provide to Digi Spain wholesale access bitstream services for an initial term of 25 years. Concomitantly, Digi Spain has agreed to provide to Sota Investments Spain OpCo, S.L.U. operation and maintenance services, as well as other technical services in relation to the Network, for a similar duration.
